Business sales
The team advised on the sale of a Staffordshire based chain of opticians. Denison Till acted on all aspects of the transaction including managing the simultaneous granting of new leases on each of the various sites from which the businesses operated.
Business purchases
The department advised a leading Yorkshire accountancy practice on the acquisition of a competitor with two other local offices. The deal involved purchasing the business and assets and also shares in the company, subject to earn outs and deferred payments.
Company sales
Complex multi-million pound cross-border sale of a group of UK companies providing specialist support services to the construction, engineering and steel sectors to a US based multinational.
The disposal to a listed US corporate for a substantial eight figure sum of a UK group of companies delivering specialist financial services. The transaction involved the team advising on all aspects of the deal including managing the competing interests of different groups of shareholders and structuring the deal to ensure that the maximum possible value could be extracted by the sellers over a number of years.
Company acquisitions
The team advised a specialist engineering company on the purchase of shares and various exit mechanisms for an outgoing minority shareholder. Advice included the initial planning, preparation of the documents, negotiation and following this through to completion under tight timescales and in circumstances where the relationship between some of the shareholders had all but broken down.
Corporate reorganisations
The team advised on the reorganisation of two extremely successful equipment supply companies into one corporate group. The transaction saw two companies that were owned by different branches of one family brought together into one corporate entity in a way that avoided any adverse tax consequences or disruption to the business. The deal was structured to help bring about a number of savings within the group as well as facilitate the eventual succession of the business to the next generation.
The team advised on the liquidation demerger of a company's multi-million pound retail business and its equally successful farming businesses by means of liquidation demerger. Our advice ranged from initial planning to all aspects of implementation of the transaction including working closely with the liquidators and other professional advisers and successfully structuring the deal to obtain substantial tax savings.
Denison Till separately advised several English Football League clubs on multi-million pound group and property reorganisation schemes. This involved providing advice on the corporate and commercial aspects of the transaction and working closely with the clubs' other professional advisers and counsel to prepare an offer document to shareholders. It also required Denison Till to advise on the compliance issues under the Financial Services & Markets Act 2000, the Prospectus Rules and the restrictions governing the making of unlawful financial promotions as well as consideration of the Football Association rules.
Commercial Contracts
Denison Till provided bespoke commercial advice to a cloud computing specialist company. The team prepared terms and conditions for the provision of their new applications of software as a service purchased by clients via their website for use on a third party US-based server platform.
